Acceptance of Terms

Welcome to Iris AI Platform ("Iris," "we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Iris governing your access to and use of our AI agent platform and related services.

By accessing or using Iris, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

Important - India Jurisdiction

These Terms are governed by Indian law and subject to the exclusive jurisdiction of courts in India. By using Iris, you consent to jurisdiction in India for any disputes.

Age Requirement

You must be at least 18 years of age to create an account and use Iris. If you are under 18, you may only use our services with the consent and supervision of a parent or legal guardian, who will be responsible for your account activity.

Service Description

Iris is an AI-powered agent platform that enables you to create, configure, and execute autonomous AI agents to accomplish tasks through natural language commands.

Our Services Include:

  • AI agent creation and management
  • Integration with multiple AI models (Claude, GPT-4, etc.)
  • Tool execution capabilities (file operations, web browsing, command execution, etc.)
  • Workflow automation and scheduling
  • API access for programmatic integration
  • Team collaboration features
  • Analytics and usage monitoring

Service Limitations:

Iris is provided "as-is" and "as available." We do not guarantee:

  • 100% accuracy of AI-generated outputs
  • Uninterrupted or error-free operation
  • That the service will meet all your specific requirements
  • Compatibility with all third-party services or APIs

Account Registration & Responsibilities

Creating an Account

To use Iris, you must create an account by providing accurate and complete information, including:

  • Full name
  • Valid email address
  • Secure password
  • Organization details (for team accounts)

Your Responsibilities

  • Account Security: You are responsible for maintaining the confidentiality of your password and account credentials.
  • Account Activity: You are responsible for all activity that occurs under your account, including actions taken by team members you invite.
  • Accurate Information: You must keep your account information current and accurate.
  • Unauthorized Access: You must notify us immediately if you suspect unauthorized access to your account.
  • One Account Per Person: Each user must have a unique account. Sharing accounts is prohibited.

Acceptable Use Policy

You agree to use Iris only for lawful purposes and in compliance with these Terms. You must not:

Prohibited Activities:

  • Violate any applicable laws, regulations, or third-party rights
  • Generate or distribute illegal, harmful, or malicious content
  • Infringe on intellectual property rights of others
  • Engage in fraud, phishing, or deceptive practices
  • Create content that promotes violence, hate speech, or discrimination
  • Generate spam, malware, or other harmful code
  • Attempt to reverse engineer, decompile, or hack the service
  • Bypass rate limits, usage quotas, or security measures
  • Scrape or harvest data from the platform without permission
  • Impersonate others or misrepresent your identity
  • Interfere with other users' access to the service
  • Use the service to train competing AI models

Consequences of Violations

Violations of this Acceptable Use Policy may result in immediate account suspension or termination without refund. We reserve the right to report illegal activities to law enforcement authorities.

Service Level Agreement

We strive to provide reliable service with the following targets:

Uptime Target:

99.5% monthly uptime (excluding scheduled maintenance)

Scheduled Maintenance:

Announced at least 48 hours in advance, typically during low-usage periods

Support Response Time:

• Critical issues: Within 4 hours (business days)
• General support: Within 24-48 hours
• Business hours: Monday-Friday, 9 AM - 6 PM IST

Service Credits

If we fail to meet the 99.5% uptime target in a given month (excluding scheduled maintenance and force majeure events), you may be eligible for service credits:

  • Uptime 99.0% - 99.5%: 10% credit
  • Uptime 95.0% - 99.0%: 25% credit
  • Uptime below 95.0%: 50% credit

Credits must be claimed within 30 days of the affected month by emailing support@irisvision.ai with details.

Billing & Payments

Iris offers subscription-based pricing plans. By subscribing, you agree to pay the fees associated with your chosen plan.

Payment Methods

We accept payments through Razorpay, which supports:

  • Credit cards (Visa, Mastercard, American Express, RuPay)
  • Debit cards
  • UPI (Unified Payments Interface)
  • Net banking (all major Indian banks)
  • Digital wallets

Pricing & Currency

All prices are listed in USD. Indian customers will see the INR equivalent at the time of payment based on current exchange rates.

Taxes

Prices do not include applicable taxes. You are responsible for all taxes, including:

  • Goods and Services Tax (GST) - applicable for Indian customers
  • Any other local, state, or federal taxes

GST will be automatically calculated and added to your invoice based on your billing location.

Failed Payments

If a payment fails, we will:

  • Notify you via email
  • Retry the payment up to 3 times over 7 days
  • Suspend your account if payment is not received within the grace period
  • Delete your data 30 days after account suspension if payment remains unpaid

Subscription & Auto-Renewal

Iris subscriptions operate on an auto-renewal basis unless you cancel before the renewal date.

Auto-Renewal Disclosure

By subscribing, you authorize us to charge your payment method automatically at the start of each billing cycle (monthly or annually) until you cancel. You can cancel at any time to prevent future charges.

How Auto-Renewal Works

  • Your subscription will automatically renew on the same day each month/year unless canceled
  • We will send a reminder email 7 days before your renewal date
  • You will be charged the then-current price for your plan
  • You can cancel auto-renewal at any time from your account settings

Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect on your next renewal date. If you do not agree to a price change, you may cancel before the new price takes effect.

Upgrades & Downgrades

  • Upgrades: Take effect immediately. You will be charged a pro-rated amount for the remainder of your billing cycle.
  • Downgrades: Take effect at the end of your current billing cycle. No refunds for the current period.

Cancellation Process

  1. Go to Account Settings → Subscription
  2. Click "Cancel Subscription"
  3. Select a reason (optional feedback)
  4. Confirm cancellation

Alternatively, email support@irisvision.ai with "Cancel Subscription" in the subject line.

Access After Cancellation

After cancellation, you will retain access to paid features until the end of your current billing period. Your account will then revert to the free tier (if available) or be deactivated.

Refund Eligibility

Refunds are available within 7 days of purchase for new subscriptions that have not been substantially used. See our Refund Policy for complete terms.

Data Deletion Upon Termination

When you cancel your account or we terminate your access:

Data Retention Timeline

  • Immediate: Account access is disabled
  • Within 30 days: Agent configurations, prompts, and generated content are deleted
  • Within 90 days: All personal data is deleted except:
  • Payment records (retained for 7 years for tax compliance)
  • Anonymized usage statistics (for analytics)
  • Data required to be retained by law

Data Export Before Deletion

Before closing your account, you can request a complete export of your data in JSON format from Account Settings → Data Export. This includes:

  • Agent configurations
  • Execution history
  • Generated content
  • Account settings

Intellectual Property

Your Content

You retain full ownership of all content you create using Iris, including:

  • Agent configurations and prompts
  • AI-generated outputs and results
  • Files uploaded or created through the platform

By using Iris, you grant us a limited license to use your content solely to:

  • Provide and improve our services
  • Process your requests and execute agent tasks
  • Generate anonymized analytics

We do not use your content to train our AI models or share it with third parties except as necessary to provide the service (e.g., sending prompts to AI model providers).

Iris Platform

Iris, including our website, software, APIs, documentation, and all related intellectual property, is owned by us and protected by copyright, trademark, and other laws. You may not:

  • Copy, modify, or create derivative works of the platform
  • Reverse engineer or decompile any part of the service
  • Remove or alter any proprietary notices
  • Use our trademarks or branding without permission

Disclaimers & Limitations of Liability

Disclaimer of Warranties

IRIS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Accuracy, completeness, or reliability of AI-generated content
  • Uninterrupted, secure, or error-free operation
  • Freedom from viruses or harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, IRIS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, revenue, or business opportunities
  • Damages arising from your use or inability to use the service
  • Errors or inaccuracies in AI-generated content
  • Third-party actions or content

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO IRIS IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (USD), WHICHEVER IS GREATER.

Important Notice

Nothing in these Terms excludes or limits our liability for fraud, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under Indian law.

Dispute Resolution - India Jurisdiction

India Courts

Governing Law

These Terms are governed by the laws of India, including:

  • Information Technology Act, 2000
  • Digital Personal Data Protection Act, 2023
  • Consumer Protection Act, 2019
  • Indian Contract Act, 1872

Jurisdiction

Any disputes arising from these Terms or your use of Iris shall be subject to the exclusive jurisdiction of the courts located in [City, State], India. By using Iris, you irrevocably consent to the jurisdiction and venue of such courts.

Dispute Resolution Process

  1. Informal Resolution: Before filing any legal claim, you agree to contact us at legal@irisvision.ai to attempt to resolve the dispute informally.
  2. Negotiation Period: Both parties will negotiate in good faith for 30 days.
  3. Arbitration (Optional): If informal resolution fails, either party may propose binding arbitration under the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted in [City], India, in English.
  4. Litigation: If arbitration is not agreed upon, disputes shall be resolved in Indian courts as specified above.

Consumer Protection Rights

If you are a consumer under the Consumer Protection Act, 2019, you may also have the right to file complaints with:

  • District Consumer Disputes Redressal Commission
  • State Consumer Disputes Redressal Commission
  • National Consumer Disputes Redressal Commission

These Terms do not limit your statutory rights under Indian consumer protection laws.

Indemnification

You agree to indemnify, defend, and hold harmless Iris, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Content you create or actions you perform using Iris
  • Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

Termination

Termination by You

You may terminate your account at any time through Account Settings or by emailing us. See the Refunds & Cancellation section for details.

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is involved in fraudulent or illegal activity
  • Payment fails and remains unpaid after the grace period
  • We are required to do so by law or court order
  • Continued provision of service would harm us or other users

Effect of Termination

Upon termination:

  • Your access to Iris will cease immediately
  • All licenses granted to you will terminate
  • Your data will be deleted according to our data retention policy
  • No refunds will be provided for prepaid periods (except as required by law)
  • Sections that by nature should survive will remain in effect (e.g., indemnification, liability limitations)

Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Notify you via email at least 30 days before changes take effect
  • Display a prominent notice on our website
  • Update the "Last Updated" date at the top of these Terms

Your continued use of Iris after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your account before the effective date.

We will not make retroactive changes that substantially increase your obligations or reduce your rights without your explicit consent.
